Terms of Service

These Terms of Service ("Terms") govern your use of Aeta, home care operations software provided by Aicare Services Inc. ("Aeta", "we", "us"), including the website at aeta.care, the Aeta web app and the Aeta mobile app (together, the "Service"). By using the Service, you agree to these Terms.

If you use the Service on behalf of a home care agency or another organization ("Customer"), you agree to these Terms on its behalf and confirm that you have the authority to do so. If a Customer has signed a separate agreement with us, that agreement governs where it conflicts with these Terms.

1. Accounts

  • Accounts are created by invitation from a Customer's administrator. The Customer decides who has access and which role each user has, can deactivate or delete its users' accounts, and is responsible for its users' activity in the Service.
  • You must be at least 18 years old or the age of majority where you live, and the information you give us must be accurate.
  • Keep your password confidential. Tell us right away at hi@aeta.care if you suspect unauthorized use of your account.

2. Customer responsibilities

Each Customer is responsible for:

  • having the right to collect the information it puts into the Service, including giving any notice and getting any consent the law requires from clients, family members and staff;
  • the accuracy and lawfulness of its Customer Data; and
  • its own care, staffing, employment, payroll and billing decisions, and its compliance with the laws and funder requirements that apply to its business.

Aeta is an operations tool. It is not a health care provider and does not give medical, legal, tax or employment advice. Do not rely on the Service in an emergency; call 911 or your local emergency number.

3. Acceptable use

You may not:

  • use the Service to break the law or violate anyone's rights, including privacy rights;
  • access information you are not authorized to see, or try to get around access controls;
  • probe, scan or test the Service for vulnerabilities without our written permission;
  • interfere with or overload the Service, or upload malware;
  • access the Service by automated means, except through features we provide for that purpose;
  • copy, modify, reverse engineer or resell the Service, except as the law expressly allows; or
  • use the Service to build a competing product.

4. AI features

  • AI features generate output from your requests and the information in the Service. Output can be inaccurate or incomplete. Review it before relying on it, especially anything that affects a client's health or safety.
  • The assistant can propose changes to records but cannot make them without a person's approval. You are responsible for the changes you approve.
  • Using AI features sends relevant information to third-party AI providers, as described in our Privacy Policy. We do not use Customer Data to train AI models.

5. Customer Data

  • "Customer Data" means the information a Customer and its users put into the Service. The Customer owns its Customer Data.
  • The Customer gives us permission to host, copy, process, transmit and display its Customer Data only as needed to provide, secure and support the Service, and as described in our Privacy Policy.
  • A Customer can ask us for a copy of its Customer Data before its use of the Service ends, and we will provide it in a commonly used format.

6. Fees

Fees for the Service are set out in the order, quote or agreement between us and the Customer. Unless that document says otherwise, fees are non-refundable and do not include taxes, which the Customer pays. We may suspend access for overdue fees after giving notice.

7. Third-party services

The Service works with third-party services such as Google Calendar, Google Docs, Google Maps and Slack. Your use of those services is governed by their own terms, and we are not responsible for them.

8. Our intellectual property

We own the Service, including its software, design and trademarks. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use the Service while your Customer's access is active. If you send us feedback or suggestions, we may use them without any obligation to you.

9. Availability and changes to the Service

We work to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may add, change or remove features. If we remove a feature that Customers materially rely on, we will tell them in advance.

10. Suspension and termination

  • A Customer can stop using the Service as set out in its agreement with us.
  • We may suspend or end access to the Service if you breach these Terms, if the law requires it, or to protect the Service or its users. Where practical, we will give notice first.
  • When access ends, your right to use the Service ends, and we handle Customer Data as described in our Privacy Policy. Sections 5, 8 and 11 to 15 continue to apply.

11. Disclaimer

To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the extent the law allows, Aeta is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount the Customer paid us for the Service in the 12 months before the claim.

13. Indemnity

Each Customer will defend and indemnify Aeta against third-party claims arising from its Customer Data, or from its or its users' use of the Service in breach of these Terms or the law, including any failure to give notice or obtain consent.

14. Changes to these Terms

We may update these Terms. We will post changes on this page and update the effective date. If a change is significant, we will notify Customers by email or in the Service before it takes effect. Continuing to use the Service after a change takes effect means you accept it.

15. General

  • These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia have exclusive jurisdiction over any dispute about them.
  • These Terms, our Privacy Policy and any agreement with the Customer are the entire agreement about the Service.
  • If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a part of these Terms is not a waiver.
  • You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, acquisition or sale of assets.
